Minutes of the Final CREN Member Representatives Meeting
January 7 2003
The Corporation for Research and Educational Networking (CREN)
January 7, 2003, 1:00 p.m.

The meeting was called to order at 1:00 p.m. on January 7, 2003. 127 out of 177 member representatives were represented by written proxies. A quorum was therefore established.
The single purpose of the meeting was to vote on the following resolution which had been approved by the CREN Board of Trustees on November 08, 2002:
"We recommend that the Corporation for Research and Educational Networking (CREN) be dissolved effective as soon as appropriate. The effective date of dissolution will likely be in the first quarter of 2003. CREN Operations will cease effective as soon as appropriate."
127 Member Representatives (71.75%) voted on the motion. Of those voting, 126 voted in favor the resolution (99.21%) while one Member Representative abstained (0.79%). The resolution is therefore approved.
There being no further business of the meeting, the meeting was adjourned at 1:10 p.m.

Announcement of CREN Board Resolution
December 5, 2002
The CREN Board of Trustees has approved a resolution for the membership to vote to dissolve the corporation effective as soon as appropriate so that reasonable care can be taken to transition services and personnel.
If approved by the CREN membership, the venerable higher-education technology association will close down after more than twenty years of service to the higher education community.
The full press announcement for this resolution is here. The CREN Member Representatives are receiving a ballot for approving/not approving this resolution. The special meeting for counting these ballots is scheduled for January 07, 2003. 
What Happens Next? 
We have prepared an FAQ anticipating some of the questions that our CREN members will have. While this FAQ cannot anticipate all the questions about the Certificate Authority Services, the TechTalks and ListProc, we hope that it will address most of them.
